These Terms & Conditions ("Terms") govern your use of Vyralytics ("Vyralytics", "we", "us", or "our"), including our website, waitlist, and product (together, the "Service"). By joining the waitlist or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of the Service

Vyralytics is an analytics platform for Instagram that helps creators, brands, and agencies track performance, monitor public accounts, and generate content insights. The Service is currently in invite-only early access: features may be incomplete, may change without notice, and are provided for evaluation purposes.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity.

4. Accounts and Access

Access to the Service is granted by invitation only during early access. Joining the waitlist does not guarantee access or any specific timeframe for an invitation. The Service is currently free during early access. We may introduce paid plans in the future; any pricing changes will be communicated with reasonable advance notice before they apply to you. You are responsible for keeping your account credentials confidential and for all activity under your account.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Abuse, overload, or disrupt the Service, including through automated scraping of the Service itself or circumvention of rate limits and security measures.
• Use the Service to stalk, harass, or harm any individual.
• Misrepresent analytics or insights produced by the Service as official Instagram or Meta data.
• Resell or redistribute the Service or its outputs without our written permission.
• Violate the Instagram or Meta platform terms, community guidelines, or the rights of any third party when using insights obtained through the Service.

Vyralytics is not affiliated with, endorsed by, or sponsored by Instagram or Meta Platforms, Inc. Instagram is a trademark of Meta Platforms, Inc. The Service analyzes publicly available information and does not require or request your Instagram login credentials.

6. Intellectual Property

The Service, including its design, code, branding, and underlying technology, is owned by Vyralytics and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your access period. No other rights are granted.

7. User Content

You retain ownership of any content you submit to the Service (such as account names, notes, or reports you create). You grant us a limited license to process that content solely to operate and improve the Service. You represent that you have the right to submit any content you provide.

8. Disclaimers

The Service is provided "as is" and "as available", especially during early access. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Analytics, metrics, scores, and AI-generated insights are estimates and predictions, may be inaccurate or incomplete, and should not be relied upon as the sole basis for business, financial, or partnership decisions.

9. Limitation of Liability

To the maximum extent permitted by law, Vyralytics and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost goodwill, arising from or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months preceding the claim (or USD 100 if you paid nothing).

10. Indemnification

You agree to indemnify and hold harmless Vyralytics from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any third party's rights.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access at our discretion, including for breach of these Terms, with or without notice. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.

12. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes will be resolved in the courts located in Delaware, USA, unless otherwise required by applicable law.
